Standard Terms and Conditions of Lever Impact Pty Ltd

1. Acceptance of Terms

By accessing and using the services of Lever Impact Pty Ltd (hereinafter referred to as "Lever Impact"), you agree to comply with and be bound by the following terms and conditions of service (the "Terms"). Please review these Terms carefully before using the services.

2. Services Offered

Lever Impact provides Environmental, Social, and Governance (ESG) transformation advice and virtual Chief Financial Officer (CFO) services as detailed on our Services page. These services are subject to the scope and limitations outlined in any Service Agreement entered into.

3. Service Engagement

Engagement with Lever Impact's services will be initiated upon the completion of an agreed Service Agreement and will be subject to the terms specified therein, including the scope of work, fees, and duration of engagement.

4. Fees and Payments

Fees for Lever Impact’s services will be as set out in the Service Agreement. All fees are exclusive of Goods and Services Tax (GST), which will be charged in accordance with the current rate prescribed by Australian tax law. Payment terms are as per the Service Agreement and unless otherwise stated, are to be fulfilled within Fourteen (14) days of the invoice date.

5. Intellectual Property Rights

All intellectual property rights in any work product resulting from the services provided by Lever Impact shall remain the exclusive property of Lever Impact unless otherwise agreed in writing.

6. Confidentiality

Lever Impact commits to maintaining the confidentiality of all client information and data shared during the course of the engagement, subject to legal requirements.

7. Limitation of Liability

To the fullest extent permitted by law, Lever Impact’s liability in relation to the provision of services shall be limited to the amount paid by the client for the services.

8. Termination of Services

The client or Lever Impact may terminate the Service Agreement in accordance with the terms specified therein.

9. Dispute Resolution

Any disputes arising out of or in connection with the services provided by Lever Impact shall first be addressed through direct negotiation. If a resolution is not reached, the dispute will be subject to mediation or arbitration, as agreed upon by both parties.

10. Amendments to Terms

Lever Impact reserves the right to amend these Terms at any time. Continued use of services after such changes shall constitute your consent to such changes.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, without giving effect to any principles of conflicts of law.
